Notes on shareholder structure
With regard to the shareholder structure and the sanctions imposed in connection with the minority shareholder MKAO “Rasperia Trading Limited” (“Rasperia”), reference is also made to the information provided in the consolidated financial statements as at 31 December 2025.
As a result of the sanctions imposed on Rasperia and the continuing asset freeze, Rasperia remains unable to exercise any shareholder rights, in particular to participate in General Meetings of STRABAG SE or exercise voting rights. This legal position has since been confirmed by a judgment of the Court of Justice of the European Union.
A dividend of € 2.90 per share was approved at the Annual General Meeting of 12 June 2026. As the dividend entitlements relating to the shares held by MKAO “Rasperia Trading Limited” are frozen, the dividend attributable to Rasperia (less capital gains tax) in the amount of T€ 59,921 was, as in the previous year, not paid out. As at 30 June 2026, unpaid dividend entitlements amounting to T€ 239,685 (31 December 2025: T€ 179,764) as well as the payment entitlements arising from the capital reduction in the amount of T€ 257,925 (31 December 2025: T€ 257,925) are therefore reported as other current financial liabilities.
Proceedings challenging resolutions adopted by the Extraordinary General Meeting in 2022 and review proceedings before the Takeover Commission in connection with the mandatory offer made in 2022 remain pending from previous years.
Final and binding decisions in favour of Rasperia have been issued in the proceedings brought by Rasperia in the Russian Federation. The amounts awarded to Rasperia were collected from AO Raiffeisenbank in Russia.
In the first half of 2026, Rasperia filed a claim with the Commercial Court in Kaliningrad against STRABAG SE, several Group companies and other defendants. The claim concerned an amount of approximately € 29 million awarded to Rasperia by a Russian court which Rasperia sought to enforce against certain Russian assets and equity interests of the defendants. At Rasperia’s request, however, the Kaliningrad Commercial Court suspended the proceedings in question at the end of July 2026. The relevant decision has not yet become legally binding.
